Terms of Service
These terms apply between Alpha Bridge Accounting (Pty) Ltd (registration number 2023/916934/07, "Alphabridge", "we") and the business that signs up for LONNA ("you", "the customer").
1. The service
LONNA, by Alphabridge is an online payroll system for South African employers. It calculates salaries, PAYE, UIF, SDL and related amounts, produces payslips, reports and payment and import files, and keeps payroll records.
LONNA is a tool. You remain responsible for your statutory duties as an employer, including correct submissions to SARS, the UIF and the Compensation Fund, and the payment of your employees. Check every payroll run, payslip and file before you use it. We recommend running LONNA next to your existing payroll for a period before relying on it.
2. Signing up and your account
A sign-up becomes an account only when we approve it. We may decline a sign-up.
The person who signs up becomes the account owner and may add other users and companies. You are responsible for everything done under your account, for keeping passwords secret and for removing users who should no longer have access. Tell us at once if you suspect misuse.
3. Fees
The subscription fee is charged per employee per month at the price shown on your account, at present [R0.00 / the price we agreed with you]. We may change the price with at least [30] days' written notice.
We charge each month for the number of employees still employed on the day the charge is made. Charges are payable within [7] days of the invoice date. Amounts are [exclusive / inclusive] of VAT.
If a charge is overdue we may remind you, and if it stays unpaid after notice we may suspend your account until it is paid. Your data is kept while an account is suspended.
4. Your data
The payroll and employee information you put into LONNA is yours. We process it only to provide the service to you, on your instructions, as set out in the Operator Agreement, which forms part of these terms.
You promise that you are entitled to give us that information and that you have told your employees what you are required to tell them under the Protection of Personal Information Act, 2013 (POPIA).
5. Our staff and your data
Our staff cannot open your companies, employees or payslips without your approval. They must ask your account owner, say why, and are given limited-time access that ends by itself. Everything they open is recorded and you can read that record. See the Staff Access Policy.
6. Acceptable use
You may not misuse LONNA, try to reach another customer's data, interfere with the service, test its security without our written permission, or use it for anything unlawful.
7. Availability and backups
We work to keep LONNA available but do not promise it will always be available or free of errors. We may take it offline for maintenance and will try to do so outside normal working hours.
We back up the system regularly. You should also keep your own copies of the reports and files you need for your records.
8. Confidentiality and security
We keep your information confidential and use appropriate technical and organisational measures to protect it, as described in the Privacy Notice and the Operator Agreement.
9. Liability
[Attorney to settle.] To the extent the law allows, our total liability to you for any claim arising from the service is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss, or for penalties or interest charged by SARS or any other authority that result from information, instructions or decisions of yours.
Nothing in these terms excludes liability that cannot lawfully be excluded, including under the Consumer Protection Act, 2008, where it applies to you.
10. Ending the agreement
You may cancel at any time by telling us in writing; the monthly charge stops after the month in which you cancel. We may end the agreement on [30] days' notice, or immediately if you seriously breach these terms.
After the agreement ends you may ask for your data in a usable format within [30] days. After that we delete it, except what we must keep by law.
11. Changes to these terms
We may change these terms by giving you [30] days' notice. If you carry on using LONNA after the notice period, you accept the change.
12. General
These terms, the Privacy Notice, the Operator Agreement and the Staff Access Policy are the whole agreement. South African law applies. The [courts of the Gauteng Division, Pretoria] have jurisdiction.
